Terms of Service

01What the Service is

ConnexusAI gives you a branded drayage quote calculator to embed on your own website. Visitors to your site (“Shippers”) enter shipment details and receive an instant estimate calculated from your rates. Each request is saved as a lead in your dashboard, and a branded quote email is sent to the Shipper, from your connected mailbox or from ours on your behalf.

02Your account

• You must be at least 18 and using the Service for a business, not for personal or household purposes.
• Give us accurate information and keep it current, including a working account email.
• Keep your password confidential. You are responsible for everything done through your account, and you must tell us promptly at john@connexusai.online if you suspect unauthorized access.
• One account per business. You may not share an account with, or transfer it to, another business.

03Your rates and your quotes

You set every pricing input: line-haul rates, fuel surcharge, chassis fees, accessorials, served ports, and anything else the calculator uses. The Service combines those inputs with route distances from a third-party mapping provider to produce an estimate.

• Quotes are estimates, not offers by us. Whether you honor a quote, and on what terms, is entirely your decision. You are solely responsible for your pricing, for what the calculator shows to your customers, and for any transportation you provide.
• Distances, maps, and route data come from Google Maps Platform and may be approximate, out of date, or temporarily unavailable. We do not warrant the accuracy of any distance, rate, or calculation.
• Check your configuration after you change rates. We recommend running a test quote from your own site whenever your pricing changes.

04Your content and your customers’ data

Ownership and license

You own your logo, brand assets, rates, and lead data (“Customer Content”). You grant us a non-exclusive, worldwide, royalty-free license to host, store, display, process, and transmit Customer Content only as needed to provide the Service to you. You confirm you have the rights to everything you upload and that it does not infringe anyone else’s rights.

Leads and Shipper personal data

Personal information that Shippers enter into your calculator (name, email, phone, shipment details) is collected on your behalf. As between you and us, you are the data controller or “business” and we are the processor or “service provider” acting on your instructions, which are these Terms. We will:

• process lead data only to provide the Service (store it, show it in your dashboard, send the quote email);
• not sell it, and not use it for our own marketing;
• keep it confidential and protect it as described in our Privacy Policy;
• delete or return it when your account closes, subject to §14.

You are responsible for having a lawful basis to collect lead data, for any privacy notice your own website requires, for how you use leads after they reach you, and for responding to Shippers’ requests about their data. We will help you with such requests where we reasonably can.

Connected mailbox

If you connect your own email account, you authorize us to send quote emails from that address on your behalf. We store the credentials encrypted and use them only for that purpose. Use an app-specific password where your provider offers one. You can disconnect the mailbox at any time from your dashboard, after which quote emails are sent from our platform address instead.

05Subscription, billing, and cancellation

• The Service is sold as an annual subscription at the price shown at checkout. Payments are processed by Stripe, and Stripe’s terms apply to the payment itself. We never see or store your full card number.
• Automatic renewal. Your subscription is billed annually in advance and renews automatically for successive one-year terms, at the then-current price, until you cancel. We will email you a reminder at least 30 days before each renewal, stating the renewal price and how to cancel.
• You can cancel at any time from Dashboard → Subscription, or by emailing john@connexusai.online. Cancellation takes effect at the end of the current annual period, and your calculator keeps working until then.
• Refunds. Annual subscriptions are billed in advance. If you are not satisfied, email us within 30 days of your first payment and we will refund it in full (30-day money-back guarantee). After that, you can cancel at any time from your dashboard; cancellation takes effect at the end of the paid year, you keep access until then, and we do not offer prorated refunds for the unused portion, except where required by law.
• If a payment fails, we may take your calculator offline (it shows a “temporarily unavailable” message to Shippers) until the payment is resolved.
• We may change the renewal price with at least 30 days’ notice by email to your account address. A new price applies from your next renewal, never mid-term. Renewing after that notice means you accept it.
• Prices exclude taxes. You are responsible for any sales, use, or similar taxes unless we are required to collect them.
• We may offer free, trial, or fee-exempt access at our discretion and may end it with reasonable notice.

06Acceptable use

You agree not to, and not to let anyone else:

• use the Service to break any law, or to send unsolicited or deceptive email to anyone;
• upload malicious code, or probe, scan, overload, or interfere with the Service or its infrastructure;
• copy, reverse engineer, or extract the source code, design system, or email templates of the Service;
• resell, sublicense, or white-label the Service without our written permission;
• use the calculator for anything other than quoting your own drayage or trucking services;
• impersonate another business, or misrepresent who is providing a quote;
• circumvent billing, usage limits, or security measures.

07Intellectual property

The Service, including its software, design engine, calculator, email templates, and documentation, is owned by us and protected by intellectual-property law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your business while you have an active account and comply with these Terms. All other rights are reserved.

The ConnexusAI name and logo are ours; do not use them without permission, except that you may state that your calculator is powered by ConnexusAI. Unless your plan says otherwise, the calculator and quote emails may carry a small ConnexusAI attribution.

If you send us feedback or suggestions, we may use them without any obligation to you.

08Third-party services

The Service relies on third parties. Their terms apply to their part of the Service:

• Google Maps Platform provides address lookup, route distances, and maps. By using the Service, you and your Shippers agree to be bound by the Google Maps Platform Terms of Service and acknowledge the Google Privacy Policy.
• Stripe processes subscription payments under the Stripe terms.
• Email delivery providers, including your own mailbox provider if you connect one.

We are not responsible for third-party services, and their availability may affect the Service.

09Availability, changes, and support

We work to keep the Service available, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance, and we may add, change, or remove features. Where a change materially reduces what you pay for, we will give you reasonable notice. Support is provided by email at john@connexusai.online on a reasonable-efforts basis.

10Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT QUOTES, DISTANCES, OR CALCULATIONS WILL BE ACCURATE, OR THAT THE SERVICE WILL GENERATE LEADS OR REVENUE.

11Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST LOADS, LOST BUSINESS, LOST DATA, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF WE WERE ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. In that case our liability is limited to the smallest amount the law allows.

12Indemnification

You will defend, indemnify, and hold us harmless from any third-party claim, and the resulting damages, costs, and reasonable legal fees, arising out of (a) your Customer Content; (b) your rates, quotes, or any transportation services you provide or decline to provide; (c) your use of lead data; or (d) your breach of these Terms or of any law.

13Term, suspension, and termination

• These Terms apply from the day you create an account until the account is closed.
• You can close your account at any time by cancelling your subscription and emailing us, or from your dashboard where available.
• We may suspend or terminate your account if you breach these Terms, fail to pay, or expose us to legal risk. We may also terminate for convenience with 30 days’ notice, in which case we will refund any prepaid fees for the period after termination.
• On termination your embedded calculator stops working and quote emails stop sending.
• Export your leads before closing your account. We may delete your data 30 days after termination, except records we must keep for legal, tax, or security reasons.
• Sections 4, 7, and 10 through 17 survive termination.

14Governing law and disputes

These Terms are governed by the laws of California, United States, without regard to conflict-of-law rules. Before starting any formal dispute, you agree to email us at john@connexusai.online and give us 30 days to try to resolve it informally. Any dispute that is not resolved will be brought exclusively in the courts located in California, United States, and you consent to their jurisdiction.

15Changes to these Terms

We may update these Terms. For material changes we will email your account address at least 14 days before the change takes effect and update the effective date above. Continuing to use the Service after that date means you accept the new Terms. If you do not agree, cancel before the change takes effect.

16Notices

We will send notices to your account email address. You may send notices to us at john@connexusai.online or by post to ConnexusAI LLC, doing business as ConnexusAI, 2783 Bryant St. San Francisco, CA 94110.

17Assignment and general terms

• Assignment. We may assign these Terms, and your account, to a company we form or to a successor of the Service, without your consent. We will let you know when that happens. You may not assign these Terms without our written consent.
• Entire agreement. These Terms and the Privacy Policy are the whole agreement between us about the Service and replace any earlier discussions.
• Severability. If any part is unenforceable, the rest still applies.
• No waiver. Not enforcing a term is not a waiver of it.
• Independent parties. We are independent contractors; nothing here creates a partnership, agency, or joint venture.
• Force majeure. Neither of us is liable for delays caused by events outside our reasonable control, such as outages of third-party providers, internet failures, or natural disasters.
